Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 1, 2024, Fidelity National Information Services, Inc. (the “Company”) was notified by Brian T. Shea, a member of the Company’s Board of Directors (the “Board”), of his decision not to stand for re-election at the Company’s 2024 annual meeting of shareholders. Mr. Shea’s decision was not due to any disagreement with the Company on any matters relating to the Company’s operations, policies, or practices.

The Company’s Board and management team thank Mr. Shea for his commitment and dedication to the Board and the Company during his years as a director, including his leadership as Chair of the Audit Committee and his service on the Corporate Governance, Nominating and Sustainability and Risk and Technology Committees, and wish him the best with his future endeavors.
